Terms and Conditions for MenuDeskTime

These Terms and Conditions apply to the use of the macOS application MenuDeskTime, provided by:

The small-business regulation pursuant to Section 19 of the German Value Added Tax Act (UStG) applies, where applicable.

1. Scope

These Terms and Conditions apply to the use of MenuDeskTime.

MenuDeskTime is distributed through Apple's Mac App Store. The acquisition, download, installation, payment, refund, and use of the Mac App Store are additionally governed by Apple's applicable terms, usage rules, and Standard Licensed Application End User License Agreement.

These Terms supplement Apple's applicable terms. In the event of a conflict, mandatory law and Apple's applicable terms take precedence to the extent required.

Mandatory consumer-protection rights remain unaffected.

2. Description of the Application

MenuDeskTime is a macOS productivity utility that automatically measures active working time and displays it in the menu bar.

Depending on the current version and the user's settings, the application may:

• start and continue work sessions automatically based on activity;
• pause counting when the Mac is idle, locked, or asleep;
• begin a new session after a longer break;
• display the current session, daily total, and recent sessions;
• store completed sessions locally on the Mac;
• provide configurable idle and session thresholds;
• provide optional break reminders;
• offer different menu bar display styles; and
• launch automatically when the user logs in.

The precise functionality and system requirements are described in the current Mac App Store listing.

3. Intended Purpose and Limitations

MenuDeskTime is intended to provide personal awareness of active time spent at a Mac.

It is not intended to serve as:

• a legally binding timesheet;
• an official record of working hours;
• a payroll, billing, or invoicing system;
• an employee-monitoring or workplace-surveillance system;
• evidence of contractual performance;
• a compliance or attendance-management system;
• a medical or occupational-health application; or
• a substitute for records required by law, an employer, a customer, or another contractual party.

Users are responsible for independently verifying any time information used for professional, contractual, tax, payroll, billing, or legal purposes.

4. Automatic Time Measurement

MenuDeskTime determines whether the Mac is active or idle using information made available by macOS. It does not determine whether a particular activity is productive, work-related, billable, or attributable to a specific project or customer.

Measurements may be affected by factors including:

• the configured idle and break thresholds;
• sleep, wake, lock, and unlock events;
• changes to the system clock or time zone;
• application termination or system interruption;
• macOS behaviour or updates;
• hardware or software errors; and
• delayed or unavailable system events.

Time values may therefore differ from actual working time. The user is responsible for reviewing the displayed information and maintaining any separately required records.

5. Technical Requirements

Use of MenuDeskTime requires a compatible Mac and a supported version of macOS. The current version requires macOS 14 or later unless the Mac App Store listing states otherwise.

Certain functionality may depend on operating-system services, notification permission, login-item settings, power state, system configuration, or future macOS changes.

Break reminders require notification permission. Launch at Login requires the corresponding macOS registration to remain enabled. The user is responsible for granting, reviewing, and withdrawing system permissions and settings.

6. Licence

MenuDeskTime is licensed, not sold.

The licence is governed primarily by Apple's Standard Licensed Application End User License Agreement and applicable App Store usage rules unless a valid custom end-user licence agreement is expressly provided through Apple.

Subject to those terms and applicable law, the user receives a limited, non-exclusive, non-transferable right to use MenuDeskTime on compatible Apple-branded devices that the user owns or controls, including use permitted through Apple's Family Sharing or volume-purchasing rules where available.

The user may not:

• unlawfully reproduce or distribute the application;
• rent, sublicense, or commercially redistribute it;
• circumvent technical protection measures;
• reverse engineer, decompile, or disassemble it except where permitted by mandatory law;
• remove copyright or attribution notices; or
• use the application in a manner that infringes applicable law or third-party rights.

7. Price, Purchase, and Payment

The price displayed in the Mac App Store at the time of acquisition applies. If MenuDeskTime is offered free of charge, no purchase price is due for that version.

Unless expressly stated otherwise in the current Mac App Store listing, MenuDeskTime does not include a recurring subscription or in-app purchases.

Payment processing, refunds, invoices, regional pricing, taxes, currency conversion, and App Store billing are generally handled by Apple under Apple's applicable terms.

8. Refunds and Consumer Rights

Statutory consumer rights remain unaffected.

Where MenuDeskTime is acquired through the Mac App Store, refund and cancellation requests are generally processed through Apple in accordance with Apple's applicable rules and mandatory consumer-protection law.

Nothing in these Terms excludes or restricts rights that cannot legally be excluded or restricted.

9. Local Session Data

MenuDeskTime stores work sessions and preferences locally on the user's Mac.

The user is responsible for protecting access to the Mac, maintaining appropriate backups where required, and removing locally stored information when it is no longer needed.

MenuDeskTime is not a backup, archival, data-recovery, or cloud-storage service. The developer cannot restore local session data that has been deleted, corrupted, or lost.

10. User Responsibilities

The user is responsible for:

• using MenuDeskTime in accordance with applicable law;
• checking whether the displayed time information is suitable for the intended purpose;
• maintaining separate records where required;
• protecting access to the Mac and its local data;
• configuring tracking thresholds appropriately;
• managing macOS permissions and notification settings; and
• ensuring that use of the application in a workplace complies with employment, privacy, co-determination, and data-protection requirements.

MenuDeskTime must not be used to monitor another person without a valid legal basis and any consent or participation rights required by law.

11. Break Reminders

Break reminders are optional productivity prompts. They do not constitute medical, health, ergonomic, or occupational-safety advice.

The user remains responsible for organising breaks and complying with any workplace, health, safety, or legal requirements that apply to them.

The developer does not guarantee that a reminder will be displayed at a particular time or in every system configuration.

12. Apple and Third-Party Services

Apple operates the Mac App Store and relevant macOS services independently. The developer does not control Apple's services and cannot guarantee their permanent availability or unchanged functionality.

Apple's functionality, privacy practices, payment processing, refund handling, and service availability are governed by Apple's own terms and policies.

The user must comply with applicable third-party terms when using MenuDeskTime, including Apple's terms and any rules that apply to their device, workplace, or network.

13. Updates and Compatibility

Updates may be provided to:

• fix bugs;
• improve performance or usability;
• improve compatibility;
• address security or privacy issues;
• adapt MenuDeskTime to macOS changes;
• comply with legal or App Store requirements; or
• modify, add, or remove functionality.

Updates may require a newer version of macOS or compatible hardware.

The developer does not guarantee indefinite compatibility with operating systems, hardware, APIs, permissions, or technologies no longer supported by Apple.

Mandatory statutory obligations concerning digital products remain unaffected.

14. Availability

The developer aims to provide a reliable application but cannot guarantee uninterrupted or error-free operation in every environment.

Temporary or permanent limitations may result from factors including:

• macOS or App Store changes;
• software errors;
• permission or login-item changes;
• system sleep or power-management behaviour;
• unsupported hardware;
• system configuration;
• corrupted local data; or
• changes to Apple technologies.

15. Maintenance and Support

The developer is responsible for maintenance and support only to the extent described in these Terms or required by applicable law. Apple has no obligation to provide maintenance or support for MenuDeskTime.

No specific response time is guaranteed unless required by law or separately agreed in writing.

16. Liability

The developer is liable without limitation where liability cannot legally be excluded or limited, including in cases of intent or gross negligence and for injury to life, body, or health.

In cases of slight negligence, liability is limited, where legally permissible, to breaches of essential contractual obligations whose fulfilment is necessary for the proper performance of the contract and on which the user may ordinarily rely.

In such cases, liability is limited to foreseeable damage typical for this type of contract.

The limitations above do not apply where liability is mandatory, including under applicable product-liability law, guarantees expressly assumed, fraudulent concealment of a defect, or mandatory consumer-protection law.

Apple's responsibility, if any, is governed by Apple's applicable terms. To the extent provided by Apple's Standard EULA, a user may notify Apple if the application fails to conform to an applicable warranty, and Apple may refund the applicable purchase price. Apple has no further warranty obligation to the extent permitted by law.

17. Intellectual Property Claims

If a third party claims that MenuDeskTime or its authorised use infringes intellectual-property rights, the developer, rather than Apple, is responsible for investigating and addressing that claim to the extent required by applicable law.

18. Termination

The user may stop using and uninstall MenuDeskTime at any time.

Rights granted under the applicable licence may terminate if the user materially violates the licence terms, subject to mandatory law and any notice or cure rights that apply.

Provisions that by their nature are intended to continue after termination remain applicable, including provisions concerning intellectual property, liability, and governing law.

19. Governing Law

The laws of the Federal Republic of Germany apply, excluding the United Nations Convention on Contracts for the International Sale of Goods.

For consumers, this choice of law does not deprive them of mandatory protections provided by the law of the country in which they have their habitual residence.

Mandatory rules concerning jurisdiction remain unaffected.

20. Consumer Dispute Resolution

The developer is neither willing nor obliged to participate in dispute-resolution proceedings before a consumer arbitration board, unless participation is required by law.

21. Changes to These Terms

These Terms may be updated where reasonably necessary due to changes to MenuDeskTime, applicable law, security or privacy requirements, or Apple's platform.

Changes will not retroactively remove rights already acquired by consumers. Where legally required, users will be informed of material changes in an appropriate manner.

22. Apple as Third-Party Beneficiary

To the extent required by Apple's applicable terms, Apple and Apple's subsidiaries are third-party beneficiaries of the licence terms applicable to MenuDeskTime and may enforce those terms against the user.
