Terms and Conditions for Ramen

These Terms and Conditions apply to the use of the macOS application Ramen, provided by:

1. Scope

These Terms apply to the use of Ramen.

Ramen is distributed through Apple’s Mac App Store. Purchases, payments, refunds, downloads, and use of the Mac App Store are also subject to Apple’s applicable terms and licence conditions.

Mandatory consumer rights remain unaffected.

2. Description of the Application

Ramen is a macOS menu bar application designed to estimate a user's financial runway.

Users manually enter financial information such as:

• personal cash;
• business cash;
• personal monthly income;
• business monthly revenue;
• personal monthly expenses; and
• business monthly expenses.

Based on these values, Ramen may calculate:

• total available cash;
• total monthly income;
• total monthly expenses;
• monthly burn;
• yearly burn;
• estimated remaining runway; and
• whether current income covers current expenses.

Ramen does not connect to bank accounts or automatically verify the financial information entered by the user.

3. Financial Calculations

All calculations are based on information entered by the user and the application's current calculation logic.

The displayed runway represents an estimate based on the assumption that the entered income, expenses, and available cash remain applicable.

Actual financial runway may differ due to changes including:

• unexpected expenses;
• changes in income or revenue;
• taxes;
• fees;
• debt or liabilities;
• payment delays;
• business investments;
• personal spending; or
• other financial circumstances.

You are responsible for ensuring that the information entered into Ramen is complete and accurate.

4. No Financial, Investment, Tax, or Legal Advice

Ramen is an informational planning tool.

It does not provide:

• financial advice;
• investment advice;
• tax advice;
• accounting advice; or
• legal advice.

Displayed runway, burn rate, profitability, income, expense, and related calculations should not be used as the sole basis for significant financial, investment, business, tax, or legal decisions.

Where necessary, you should consult an appropriately qualified professional.

5. "Profitable" Status

If the income entered by the user equals or exceeds the entered monthly expenses, Ramen may display a status such as “Profitable” instead of an estimated runway.

This status only describes the mathematical relationship between the values entered into the application.

It does not constitute a determination that a person or business is profitable for accounting, tax, legal, investment, or valuation purposes.

6. Licence

Subject to payment of any applicable purchase price and compliance with these Terms and Apple’s applicable rules, you receive a limited, non-exclusive, non-transferable right to use Ramen on compatible Apple devices associated with your App Store account.

The application is licensed, not sold.

You may not unlawfully copy, redistribute, sublicense, reverse engineer, circumvent technical protections, or otherwise use Ramen contrary to applicable law or Apple’s terms.

7. Purchase and Refunds

Where Ramen is offered as a paid application, purchases are processed through Apple’s Mac App Store.

The price shown by Apple at the time of purchase applies.

Payment processing, billing, cancellations, and refunds are generally handled by Apple.

Statutory consumer rights remain unaffected.

8. Local Data and User Responsibility

Ramen is designed to store and process financial values locally on your Mac.

You are responsible for:

• entering accurate information;
• protecting access to your Mac;
• protecting financial information stored on your device;
• maintaining appropriate backups; and
• updating your financial values when your circumstances change.

We cannot recover application data that is lost, deleted, overwritten, or corrupted on your device.

9. Accuracy and Availability

We aim to provide reliable calculations, but software errors cannot be completely excluded.

Ramen does not guarantee that calculations are complete, error-free, or suitable for every individual financial situation.

You should verify important figures independently before relying on them.

Functionality may also be affected by macOS updates, hardware limitations, software errors, or other technical circumstances.

10. Updates

We may provide updates to:

• fix errors;
• improve performance;
• maintain compatibility with macOS;
• improve calculations;
• add or modify functionality; or
• address security issues.

Mandatory statutory obligations concerning digital products remain unaffected.

11. Prohibited Use

You may not use Ramen:

• for unlawful purposes;
• to interfere with the application's operation or security;
• to infringe third-party rights; or
• in violation of Apple’s applicable terms.

12. Liability

We are liable without limitation in cases of intent or gross negligence, for injury to life, body, or health, under applicable product-liability law, where a guarantee has expressly been given, and where liability cannot legally be limited.

In cases of slight negligence, liability is limited to breaches of essential contractual obligations and to foreseeable damage typical for this type of contract.

Mandatory statutory liability and consumer rights remain unaffected.

13. Changes and Termination

You may stop using and uninstall Ramen at any time.

We may update these Terms where reasonably necessary due to changes to the application, applicable law, Apple’s platform, security requirements, or technical functionality.

Changes will not retroactively remove mandatory consumer rights.

14. Governing Law and Dispute Resolution

The laws of the Federal Republic of Germany apply, excluding the United Nations Convention on Contracts for the International Sale of Goods.

For consumers, this choice of law does not deprive them of mandatory protections provided by the law of the country in which they have their habitual residence.

Mandatory rules regarding jurisdiction remain unaffected.

We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board, unless a legal obligation to participate applies.
